Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, desktop applications, and services provided by Paragon ("Paragon," "we," "us"). By creating an account or using the services, you agree to these Terms. If you do not agree, do not use the services.

1. The service

Paragon provides software, including an AI assistant and tools that can connect to third-party brokerage accounts you control. Paragon is a software product. It is not a bank, broker-dealer, exchange, or investment adviser, and nothing in the services constitutes financial, legal, or tax advice.

2. Accounts

• You must be at least 18 years old to create an account.
• You agree to provide accurate, current information (including your name, email, phone, and address) and to keep it up to date.
• You are responsible for safeguarding your password and for all activity under your account.
• We may suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent or abusive.

3. Subscriptions and billing

Paid features require a subscription billed monthly through our payment processor, Stripe. Prices are shown before you subscribe. Subscriptions renew automatically each month until cancelled. You can cancel at any time; access continues through the end of the paid period. Except where required by law, payments are non-refundable, including for partial billing periods.

4. Trading, brokerage connections, and market risk

The services can connect to a brokerage account that you open and control with a third-party broker (for example, Alpaca). Your brokerage API credentials are stored encrypted on your own device and are used to send orders directly from your device to your broker.

• Trading involves substantial risk of loss. Markets move unpredictably, and you can lose some or all of the money in a connected account. Past performance never guarantees future results.
• AI-generated analysis and trade proposals are automated software output. They can be wrong, incomplete, or based on stale data. They are not investment advice or a recommendation from a licensed professional.
• If you enable automatic execution ("Autopilot"), you authorize the software to place orders in your connected brokerage account without further confirmation, subject to the limits you configure. You are solely responsible for the limits you set, the mode you select (paper or live), and every order placed while Autopilot is enabled.
• You are responsible for complying with the terms of your broker and with any laws that apply to your trading.

5. Acceptable use

You agree not to misuse the services, including by attempting to gain unauthorized access, reverse engineering the software except where permitted by law, using the services to violate the law or the rights of others, reselling access without our written consent, or using the services to develop a competing product.

6. Intellectual property

Paragon and its licensors own the services, including all software, design, and branding. We grant you a limited, non-exclusive, non-transferable license to use the applications for your own internal use while you have an active account in good standing.

7. Disclaimers

The services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that AI output will be accurate.

8. Limitation of liability

To the maximum extent permitted by law, Paragon will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising from or related to your use of the services. To the maximum extent permitted by law, our total liability for all claims in any twelve-month period will not exceed the amount you paid us for the services in that period.

9. Termination

You may stop using the services and cancel your subscription at any time. We may suspend or terminate the services or your account with reasonable notice, or immediately for a material breach of these Terms.

10. Changes

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or in the application). Continued use of the services after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-law principles.
